Position Overview

The Legal team, located in Atlanta, Georgia, is seeking a Senior Counsel, Global Contracts. The Senior Counsel, Global Contracts maintains responsibilities within two key areas: (a) Global Contracts Management Center of Excellence (COE) Support and (b) Global Procurement.

Responsibilities & Qualifications

Responsibilities

  • Support and advance the formation of a global contracts management COE compliance strategy and the implementation of new contracts lifecycle management technology to modernize legal service delivery
  • Lead and implement the global contracts management COE compliance strategy and establish best-in-class procedures for efficient global contracts management
  • Hire, develop, mentor, evaluate, and manage a team of global contract managers that provide contract support and reliable and consistent feedback on key legal issues and matters, with an ability to adapt to changing business needs across regions, COEs, and other business sectors
  • Formulate contracting improvement projects, including maintaining the global contracts management policy, developing clause language and clause libraries, refreshing contract playbooks with fallback positions and guidance, and drafting standardized contract templates with optimized language in support of the modernization of Novelis’ contracts program
  • Use the advancement of groundbreaking subject areas involving artificial intelligence and robust data analytics in support of the contracting COE data initiatives, including the governance, process execution, and adoption of the new contracts lifecycle management technology globally
  • Draft and rollout a global training program to deliver focused training for contracts management procedures across corporate and regional partner groups
  • Develop a set of comprehensive metrics to drive process improvement and optimize COE maturity, including contract cycle times, contract risk scoring, business partner satisfaction, and global trainings
  • Drive alignment among legal and procurement teams globally and across the regions for contract administration, negotiation, and the management of legal risk
  • Collaborate with key collaborators to understand their legal needs and align to legal and business strategy
  • Establish a team-oriented approach with legal and business collaborators to eliminate workflow redundancies while prioritizing the efficient delivery of legal advice and analysis of procurement-related contracts
  • Develop and maintain strong working relationships with internal stakeholders
  • Support other members of the corporate legal team on a variety of matters, such as M&A, securities financings, joint ventures, strategic projects, IT, derivatives, compliance, and real estate

Minimum qualifications

  • Juris Doctor
  • Minimum 8 years of experience in the drafting, formation, negotiation, and management of contracts
  • Experience as the lead contract negotiator in a complex sales or procurement transactions
  • Minimum 5 years of related business and managerial experience
  • Proficiency in Microsoft Office applications and facility with legal and contract management technology and tools
  • Excellent drafting and writing skills, including both formal contract drafting and plain English summaries and explanations
  • Excellent communication and interpersonal skills with the ability to translate complex legal issues into identifiable and understandable commercial risks and benefits
  • Top-notch legal competence and analytical skills, tempered by practical and common-sense judgment
  • Ability to examine issues, make appropriate decisions and ensure prompt actions to ensure data integrity
  • Ability to work with and efficiently and cost-effectively manage the use of outside counsel
  • Ability and gravitas to direct a team of skilled contract managers
  • Strong eye for business in critical thinking, with ability to understand the company's business and anticipate the nature and magnitude of issues that could arise in various settings.
  • An ownership mentality, exceptional follow through skills, flexibility in adopting frequent change in all forms
  • Strong leadership skills in a customer service intensive environment
  • Ability and desire to work in a global, fast-paced, and dynamic work environment that requires multi-tasking as well as an operational approach
  • Experience interacting with members of all levels of an organization, including executive officers, as well as with key suppliers and customers.
  • Self-motivated, flexible, and efficient working style with the ability to lead complex project with exciting priorities in a fast-paced environment
  • Efficiently coordinate complex workflows and processes by efficiently delegating tasks to contract managers
  • Provide mentorship and guidance to staff members related to their responsibilities, expectations, and career development, including the provision of constructive feedback on each individual’s work product and performance
  • Meticulous work product with a focus on detail and ability to identify and resolve issues independently

Preferred qualifications

  • 10+ years in the drafting, formation, negotiation, and management of contracts
  • Experience drafting and negotiating IT-related agreements and software licenses
  • Experience with a global manufacturing company
  • Proficiency in legal technology, including contracts lifecycle management, document, and knowledge management, etc.
