Legal Counsel

The Novelis North America (NNA) team is seeking a Legal Counsel. The Legal Counsel is a cross-functional role that partners with the Novelis North America Management Team, Business Value Streams and Functional Leaders, Plant Management, and the Novelis Global Team, to provide commercially astute legal advice that highlights potential risks and offers risk mitigation recommendations and alternatives. The primary focus of the role is partnering with North America Legal team and the North America and Global business teams, primarily the Regional and Global Procurement and Logistics and Transportation functions, to handle commercial transactions and business contract arrangements with suppliers for capital expansion and other projects, including strategic planning, analysis, negotiation, review, drafting, administration and implementation of key commercial arrangements involving engineering services, construction and equipment purchases, purchasing operations, sourcing contract strategy development and management, process development and management, and other corporate and plant procurement-related projects across Novelis’ 17 North American plants.

 

This diverse role also involves the management and resolution of contractual issues and commercial disputes, and the handling of a variety of other legal matters to anticipate and assess legal risks relating to operations and strategic decisions. Other responsibilities include providing training and advice to employees on legal and corporate compliance matters, including the Company’s delegation of authority policy, and other special projects. The successful candidate will be considered for growth opportunities such as developing and expanding legal expertise in a variety of areas such as Value Stream commercial sales agreements, trade compliance, and other matters.

  • Collaborating with the Novelis North America Management Team, Business Value Streams and Functional Leaders, and Plant Management and provide commercially sensitive, practical legal advice and counseling to ensure that the Company’s legal needs are met and strategic objectives are promoted.
  • Handling strategic commercial and business contract arrangements with suppliers, including planning, structuring, analysis, negotiation, review, drafting and implementing of strategic commercial arrangements. Leading and/or supporting the negotiation of strategic critical path work packages while providing overall legal and risk management support to the project team.
  • Providing legal counsel, strategic planning advice, leadership and commercial mentorship in support of Novelis North America commercial initiatives, and support to corporate global functions, as necessary, consistent with the Company’s contracts management policies and procedures, as well as training in support of risk management and compliance initiatives.
  • Implementing general risk management and avoidance strategies and influencing business managers to adopt standard methodologies as necessary.
  • Working with the legal team to help find opportunities for improvement, supporting legal initiatives and projects, and providing legal training to business teams.
  • Accountable for leading team that keeps plants between their min/max inventory levels for each input type requires daily oversight. Failure could result in plants shutting down or unsafe operating conditions.
  • Ensuring the process and team are developed for order entry and timely communication of pricing commitments to the risk management department for hedging purposes and leading all aspects of contracts for compliance and pricing administration have a substantial impact on ROCE.

Qualifications

  • Juris Doctor degree from accredited U.S. law school and active and admitted to a state bar
  • Minimum of 5 years’ experience as in-house counsel or with corporate law firms. A combination of law firm and corporate legal experience is preferred
  • Advanced understanding of commercial law, UCC, and other statutes applicable to commercial transactions
  • Able to work collaboratively with all internal functions, internal clients, and external counsel
  • Excellent contract negotiation and drafting skills
  • Excellent analytical and problem-solving skills and the ability to use independent judgment and creativity to resolve complex contract issues
  • Significant experience negotiating complex contracts, and resolving complex commercial disputes, is highly valued, as is experience counseling global organizations on commercial and compliance issues
  • Meticulous and ability to handle multiple transactions and projects simultaneously under deadline pressure
  • Excellent oral, written, and interpersonal communication skills, strong leadership skills, and the ability to build and sustain lasting relationships with customers and management
  • Strong reputation for integrity and ability to balance business interests with the need to exercise independent judgment. The ability to raise (and intensify, if necessary) potentially sensitive or contentious issues
  • Broad business knowledge, high energy, and enthusiasm with sound judgment
  • Background in negotiation of capital expansion projects with a manufacturing company is desired.
